TERMS OF SERVICE

01.  Acceptance of Terms

By visiting summitandhound.com (the “Site”), creating an account, completing a purchase, enrolling in The Pack membership, or accessing any other product or service that links to these Terms of Service (“Terms”) (collectively, the “Services”), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and It Happens LLC, doing business as Summit & Hound (“Summit & Hound,” “we,” “us,” or “our”).

IF YOU DO NOT AGREE WITH THESE TERMS, YOU ARE PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right to update or modify these Terms at any time. Changes are effective upon posting to the Site. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. Supplemental terms or documents posted on the Site from time to time are incorporated herein by reference.

02.  Eligibility

You must be at least 18 years of age to make purchases or enroll in a membership on the Site. By using the Services, you represent and warrant that you are 18 years of age or older, or that you have obtained verifiable parental consent if you are a minor using the Site under parental supervision.

We reserve the right to refuse service to anyone at our sole discretion.

03.  Products & Descriptions

We make every effort to display our products as accurately as possible, including colors, materials, fit, and dimensions. However, we cannot guarantee that your screen or device will accurately reflect the actual appearance of our products, and minor variations may occur.

Product descriptions, pricing, and availability are subject to change at any time without notice. We reserve the right to discontinue any product at any time.

04.  Orders & Payment

When you place an order, you are making an offer to purchase a product subject to these Terms. We reserve the right to accept or decline your order for any reason, including product availability, errors in product or pricing information, or concerns related to fraud or account security.

We currently accept the following payment methods:

• Major credit and debit cards (Visa, Mastercard, American Express, Discover), processed securely through Stripe
• PayPal
• Apple Pay and Google Pay (available through Stripe when enabled)

All prices are listed in U.S. dollars. Applicable sales tax will be calculated and added at checkout based on your shipping address.

If a pricing error occurs on our Site, we reserve the right to cancel any orders placed at the incorrect price and will notify you promptly.

We do not store your full payment card information. Payment processing is handled by Stripe and PayPal, which maintain their own security and compliance standards. By completing a purchase, you also agree to the applicable terms of service and privacy policies of the payment processor used for your transaction.

05.  Shipping & Delivery — Domestic (United States)

Summit & Hound currently ships to United States addresses only. Estimated delivery times are provided for convenience and are not guaranteed. We are not responsible for delays caused by shipping carriers, weather events, or other circumstances outside our control.

Risk of loss and title for purchased items transfer to you upon delivery to the carrier. If your package arrives damaged, please contact us within 7 days of delivery so we can assist you in resolving the issue.

We are not liable for packages lost or stolen after carrier delivery is confirmed. In such cases, we recommend contacting the carrier directly or filing a claim with them or your payment provider.

06.  International Orders (Coming Soon)

Summit & Hound currently ships to United States addresses only. We are actively working to expand shipping to international destinations, which we anticipate making available in the future.

When international shipping becomes available, this section will be updated to reflect all applicable terms, including information about duties, import taxes, customs fees, carrier responsibilities, and any merchant-of-record arrangements that may apply. At that time, you will be notified of any material changes to these Terms.

Unless otherwise stated at checkout, any duties, taxes, or customs fees associated with future international orders will be the sole responsibility of the buyer. Summit & Hound will not be liable for delays, refusals, or costs arising from customs processes.

This section is provided as a placeholder and does not create any obligation for Summit & Hound to offer international shipping by any particular date.

Our returns and exchange policy is subject to change at any time without notice. We recommend reviewing it before completing your purchase.

08.  The Pack — Monthly Membership Terms

Summit & Hound offers a monthly membership program called The Pack (the “Membership”). By enrolling in The Pack, you agree to the following terms in addition to these general Terms of Service.

Billing & Authorization

The Pack is a recurring monthly membership. By enrolling, you authorize Summit & Hound to automatically charge your chosen payment method each month on your billing date until you cancel. You are responsible for ensuring your payment information remains current and accurate.

Mid-Month Enrollment

If you enroll on any day other than the first of the month, your Membership begins immediately and you receive full member benefits for the remainder of that billing period. No proration is applied for partial months of enrollment — the full monthly rate applies regardless of the date you join.

Cancellation

You may cancel your Membership at any time with no minimum commitment period and no cancellation fee. Cancellations take effect at the end of your current billing cycle. You will continue to receive Membership benefits through the end of the paid period. No prorated credits or refunds will be issued for any unused portion of a billing period.

No Refunds on Membership Dues

All Membership dues are non-refundable, including for billing periods that have already begun or partially elapsed. Upon cancellation, your Membership will remain active through the end of your current paid period and will not renew thereafter.

Membership Benefits

Current Pack Membership benefits include apparel items and purchase discounts, as described on the Site at the time of enrollment. Membership benefits are subject to change. We will provide reasonable advance notice of any material changes.

We reserve the right to modify, suspend, or discontinue The Pack Membership program at any time. If the program is discontinued, we will provide notice and issue prorated refunds for any remaining prepaid periods where applicable.

09.  Paws With Purpose — Collection Giveback Program

Summit & Hound operates the Paws With Purpose program as part of our brand mission to help reduce the financial barriers associated with training and placing certified service dogs with handlers in need.

How It Works

The majority of net proceeds generated from the sale of items in the Paws With Purpose collection and from The Pack membership dues are directed to support Northwest Elite Working Dogs, a professional service dog training organization based in the Pacific Northwest. These funds are used to help offset the real-world costs of acquiring, raising, training, and placing service dogs with qualified handlers.

“Net proceeds” means the revenue from qualifying sales and memberships after deducting direct product costs, transaction and payment processing fees, and other necessary operational expenses. The giveback is calculated on net, not gross, revenue.

What the Funds Support

Funds directed through Paws With Purpose may be used for any cost reasonably associated with the care, training, and placement of a service dog, including but not limited to:

• Acquisition of suitable service dog candidates
• Veterinary care, including routine wellness and emergency medical treatment
• Nutrition and food throughout the training period
• Professional training and board-and-train programs
• Boarding and housing during training
• Handler placement, transition support, and post-placement follow-up
• Any other cost reasonably related to preparing and placing a service dog with a qualified handler

Not a Charitable Contribution

Summit & Hound (It Happens LLC) is a for-profit business. Purchases made through the Paws With Purpose collection or The Pack membership are commercial transactions — not charitable donations — and are not tax-deductible under IRS Section 501(c)(3) or any other charitable exemption. If you have questions about the tax treatment of your purchase, please consult a qualified tax professional.

No Guaranteed Amount Per Transaction

While we are committed to directing the majority of qualifying net proceeds to Northwest Elite Working Dogs, we do not guarantee a specific dollar amount, percentage, or beneficiary allocation per individual transaction. The Paws With Purpose program and our partnership with Northwest Elite Working Dogs are subject to change. We will provide notice on the Site if the program is materially modified, the partnership changes, or the program is discontinued.

10.  User Accounts

You may create an account to access features such as order history, saved preferences, and Membership management. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree not to:

• Use another person’s account without authorization
• Provide false or misleading information during registration
• Access the Site or create accounts using automated means
• Engage in any activity that disrupts or interferes with our Services

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk of fraud or abuse. If your account is terminated, you are prohibited from registering a new account without our prior written consent. We reserve the right to take appropriate legal action, including civil and criminal remedies, in cases of account abuse or fraud.

11.  Intellectual Property

All content on the Site — including but not limited to logos, graphics, photographs, text, apparel designs, brand names, and the overall look and feel of the Site — is the property of It Happens LLC (operating as Summit & Hound) or its licensors, and is protected by applicable copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the Site without our prior written permission.

Summit & Hound, Paws With Purpose, Kona’s Cuddles, The Pack, and related marks are common law trademarks or marks in use by It Happens LLC. All other trademarks appearing on this Site are the property of their respective owners.

12.  Copyright Policy (DMCA Notice)

If you believe that content on the Site infringes your copyright or other intellectual property rights, please submit a written notice to our Copyright Agent that includes all of the following:

• (a) A physical or electronic signature of the person authorized to act on behalf of the copyright owner;
• (b) A description of the copyrighted work you claim has been infringed;
• (c) A description of where the allegedly infringing material appears on the Site;
• (d) Your name, mailing address, telephone number, and email address;
• (e) A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or applicable law; and
• (f) A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on their behalf.

13.  Privacy

Your use of the Site is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy, available at summitandhound.com/privacy.

14.  Third-Party Services & Platforms

Our Services integrate with or link to third-party platforms, which may include:

• Stripe — payment processing
• PayPal — payment processing
• Northwest Elite Working Dogs — Paws With Purpose giveback partner
• WooCommerce / WordPress – Website platform

These third-party services are not owned or controlled by Summit & Hound. We are not responsible for their content, terms of service, or privacy practices. Your use of third-party services is subject to their own terms and policies, which we encourage you to review before engaging with them. Inclusion of or linking to any third-party service does not imply our endorsement.

The Services may also contain links to third-party websites. We do not investigate, monitor, or verify the accuracy or completeness of third-party content. If you choose to leave the Site and access third-party content, you do so at your own risk.

15.  Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY CONTENT ON THE SITE, INCLUDING PRODUCT DESCRIPTIONS, PRICING, OR AVAILABILITY.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

16.  Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IT HAPPENS LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, REPRESENTATIVES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR OUR SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM, OR (B) $100.00.

Some jurisdictions do not allow certain limitations on liability, so the above limitations may not fully apply to you.

17.  Governing Law & Dispute Resolution

Current Governing Law

These Terms are currently governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. It Happens LLC operates from Spokane, Washington, and all disputes shall be resolved as described below.

Note on Pending Relocation: It Happens LLC anticipates relocating its primary place of business to the State of Idaho. Upon completion of that relocation and formal registration in Idaho, these Terms will be updated to reflect Idaho as the governing state. Updated Terms will be posted on the Site at that time.

Informal Resolution

Before pursuing formal dispute resolution, both parties agree to first attempt to resolve any dispute through good-faith negotiation. Please contact us in writing at the address listed in Section 12.

Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services shall be submitted to confidential binding arbitration. Arbitration shall be conducted in Spokane, Washington (or by telephone or electronic means where permitted by the applicable rules), in accordance with the Consumer Arbitration Rules of the American Arbitration Association (AAA). The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own arbitration fees and costs, except where applicable law requires otherwise.

Class Action Waiver

You and Summit & Hound agree that any dispute resolution proceedings, whether through a court of law or arbitration, shall be conducted solely on an individual basis. You waive any right to bring or participate in any class action, collective action, representative action, or private attorney general action.

Opt-Out

You may opt out of the arbitration provision within 30 days of first agreeing to these Terms by sending written notice to:

Your opt-out notice must include your name, address, and a clear statement that you do not wish to resolve disputes through arbitration. If you opt out, all disputes shall be resolved in a court of competent jurisdiction located in Spokane, Washington.

Equitable Relief & IP Claims

Notwithstanding the above, either party may seek equitable or injunctive relief in a court of appropriate jurisdiction to protect its interests. Claims relating to intellectual property ownership or infringement may be decided by a court of competent jurisdiction and are not subject to mandatory arbitration.

Time Limitation

Any claim or cause of action arising out of or related to your use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be permanently barred.

18.  Indemnification

You agree to defend, indemnify, and hold harmless It Happens LLC and its members, managers, employees, representatives, and agents from and against any loss, damage, liability, claim, or demand — including reasonable attorneys’ fees and costs — arising out of or related to: (a) your use of the Services; (b) your breach of these Terms; or (c) any breach of your representations or warranties set forth in these Terms.

We reserve the right, at your expense, to assume exclusive control of any matter for which you are required to indemnify us. You agree to cooperate with our defense of such claims at your expense. We will use reasonable efforts to notify you of any claim subject to this indemnification upon becoming aware of it.

19.  Electronic Communications & Signatures

By using our Services, accessing the Site, completing any online transaction, or submitting any form, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND RECORDS, AND TO THE ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND TRANSACTION RECORDS INITIATED OR COMPLETED THROUGH OUR SERVICES. YOU WAIVE ANY RIGHTS OR REQUIREMENTS UNDER APPLICABLE LAW THAT REQUIRE AN ORIGINAL SIGNATURE OR NON-ELECTRONIC RECORDS.

20.  Miscellaneous

These Terms, together with our Privacy Policy and any additional terms posted on the Site, constitute the entire agreement between you and It Happens LLC regarding your use of our Services and supersede all prior agreements on the same subject matter.

Our failure to enforce any provision of these Terms does not constitute a waiver of that right or provision. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision is deemed severable and the remaining provisions remain in full force and effect.

We may assign any or all of our rights and obligations under these Terms to others at any time. We shall not be responsible or liable for any failure to act caused by circumstances beyond our reasonable control. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Terms.

These Terms shall not be construed against us by virtue of having drafted them. You hereby waive any defenses based on the electronic form of these Terms or the absence of physical signatures.
